LIMITED LIABILITY COMPANIES

Limited liability companies, often called "LLC's" have characteristics common to both corporations and partnerships. Often used for business with a single owner, an LLC can offer certain limited liabiity protection to its members, and also can offer certain income taxation pass-through benefits similar to a partnership.

Many small copmanies elect to form their business under a limited liability company due to the flexibility and simplicity this business structure offers.

CORPORATIONS

For many business owners, the creation of a Chapter S Corporation is a smart decision.

Small business corporations have no tax effect on their owners except for filing of different IRS forms. However, the use of the corporate form for your business may shield you from personal liability in a future lawsuit.
